1. Definitions

In these Terms and Conditions, the following definitions apply:

"Company," "We," "Our," or "Us" refers to Mosaic Advisory, a business consulting firm operating in Malaysia.

"Client," "You," or "Your" refers to any individual or entity that accesses our website or engages our consulting services.

"Services" refers to the business consulting services offered by Mosaic Advisory, including Stakeholder Integration Program, Portfolio Rationalization, and Integration Checkpoint Reviews.

"Website" refers to the website located at mosaicadenni.pro and all associated pages.

2. Acceptance of Terms

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our website or services.

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services. If you are acting on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

3. Description of Services

Mosaic Advisory provides professional business consulting services to organizations in Malaysia and the region. Our services include:

Stakeholder Integration Program (RM 7,200): Structured approaches to bringing diverse stakeholder perspectives into alignment around organizational priorities, including stakeholder mapping, interest analysis, and facilitated integration sessions.

Portfolio Rationalization (RM 5,800): Analysis and recommendations for organizations with diverse portfolios seeking to optimize resource allocation, including evaluation against strategic fit and market attractiveness dimensions.

Integration Checkpoint Reviews (RM 3,400/review): Periodic assessments for organizations in the midst of integration efforts following mergers, acquisitions, or major change initiatives.

Service availability may vary, and specific terms will be outlined in individual engagement proposals.

4. Engagement Process

Consulting engagements with Mosaic Advisory typically follow this process:

Initial Consultation: A preliminary discussion to understand your situation and determine whether our services are appropriate for your needs. This consultation is provided without obligation.

Proposal: If we proceed, we will provide a written proposal outlining the scope of work, deliverables, timeline, and fees.

Engagement Agreement: Upon acceptance of the proposal, both parties will sign an engagement letter or agreement that governs the specific terms of the consulting relationship.

Service Delivery: Work commences according to the agreed timeline and milestones.

5. Client Responsibilities

To enable effective service delivery, clients agree to:

Provide accurate and complete information relevant to the engagement. Make key personnel and stakeholders available for interviews and meetings as required. Provide timely feedback on deliverables and work products. Respect scheduled meetings and deadlines. Maintain confidentiality of our proprietary methodologies and tools. Pay fees in accordance with agreed payment terms.

Failure to fulfill these responsibilities may impact project timelines and outcomes, and may result in additional fees for extended engagement periods.

6. Fees and Payment

Fees for our services are quoted in Malaysian Ringgit (RM) and are exclusive of applicable taxes unless otherwise stated. The prices shown on our website represent starting points for standard engagements; actual fees may vary based on scope and complexity.

Payment Terms: Unless otherwise agreed in writing, payment is due within 14 days of invoice date. For longer engagements, milestone-based payment schedules may be arranged.

Late Payment: Overdue invoices may incur interest at 1.5% per month. We reserve the right to suspend work on engagements with outstanding balances.

Expenses: Reasonable out-of-pocket expenses incurred during the engagement will be billed separately with supporting documentation.

7. Intellectual Property

Our Intellectual Property: All methodologies, frameworks, tools, templates, and other intellectual property developed by Mosaic Advisory prior to or independent of a specific engagement remain our exclusive property.

Client Deliverables: Upon full payment, clients receive a non-exclusive license to use deliverables produced specifically for their engagement for internal business purposes. Clients may not resell, sublicense, or distribute deliverables without our written consent.

Client Materials: All materials, data, and information provided by clients remain client property. We will handle such materials in accordance with our confidentiality obligations.

8. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information disclosed during the engagement. Confidential information includes business strategies, financial data, customer information, and proprietary methodologies.

Confidentiality obligations do not apply to information that: is or becomes publicly available through no fault of the receiving party; was known to the receiving party prior to disclosure; is independently developed without reference to confidential information; or is required to be disclosed by law or court order.

Confidentiality obligations survive the termination of the engagement for a period of three (3) years.

9. Disclaimers

Advisory Nature: Our services are advisory in nature. We provide analysis, recommendations, and facilitation, but ultimate business decisions and their implementation remain the responsibility of the client.

No Warranties: While we strive to provide high-quality services, we do not warrant specific outcomes or results. Consulting services are provided on an "as is" basis.

Professional Advice: Our services do not constitute legal, accounting, or tax advice. Clients should consult appropriate professionals for such matters.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law:

Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Mosaic Advisory, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: your breach of these Terms and Conditions; your use of our services or website; any inaccurate or incomplete information you provide; or your violation of any applicable laws or third-party rights.

12. Termination

By Client: Clients may terminate an engagement with 14 days written notice. Fees for work completed up to the termination date will be due.

By Mosaic Advisory: We may terminate an engagement if the client fails to fulfill their obligations, including payment of fees, after reasonable notice and opportunity to cure.

Effect of Termination: Upon termination, we will deliver any work products completed to that point, subject to payment of outstanding fees. Confidentiality and intellectual property provisions survive termination.

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, civil unrest, or public health emergencies. Affected parties shall notify each other promptly and make reasonable efforts to mitigate the impact.

14. Governing Law and Disputes

These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation is unsuccessful within 30 days, either party may pursue available legal remedies.

15. General Provisions

Entire Agreement: These Terms and Conditions, together with any engagement letter or proposal, constitute the entire agreement between the parties.

Severability: If any provision is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.

Assignment: Clients may not assign their rights or obligations under these terms without our prior written consent.

16. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website with a new effective date. For ongoing engagements, the terms in effect at the time of the engagement letter shall apply unless both parties agree to updated terms in writing.
